Welcome to the Hello Nurze website (this “Site”) provided by Hello Nurze, a Colorado nonprofit corporation (“Hello Nurze”, "company", “we” or “us”). Hello Nurze helps families (“Family Users”) find providers of in-home nursing care (“Care Providers” and together with the Family Users, “Users”). 

This user agreement (“User Agreement”) governs your access to and use of this Site and constitutes a binding agreement between you and Hello Nurze. Please note that we reserve the right, at our sole discretion, to change this User Agreement from time to time. Your continued use of this Site after any such change takes effect will be deemed to constitute your acceptance of and agreement to the new User Agreement.

PLEASE READ THIS USER AGREEMENT CAREFULLY BEFORE ACCESSING, USING OR BROWSING THIS SITE. BY CLICKING ON “I AGREE,” OR BY ACCESSING, USING OR BROWSING THIS SITE OR ANY SITE MATERIALS, YOU, ON BEHALF OF YOURSELF OR YOUR ENTITY, AS APPLICABLE, ACKNOWLEDGE AND CONFIRM THAT: (A) YOU HAVE READ AND UNDERSTAND ALL OF THE TERMS AND CONDITIONS OF THIS USER AGREEMENT; (B) YOU OR YOUR ENTITY, AS APPLICABLE, AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS USER AGREEMENT AND ACKNOWLEDGE THAT THIS USER AGREEMENT IS THE LEGAL EQUIVALENT OF A SIGNED, WRITTEN CONTRACT BETWEEN HELLO NURZE AND YOU OR YOUR ENTITY, AS APPLICABLE; AND (C) IF ACCESSING, USING OR BROWSING THIS SITE ON BEHALF OF AN ENTITY, YOU HAVE FULL AUTHORITY TO BIND YOUR ENTITY TO ALL OF THE TERMS AND CONDITIONS OF THIS USER AGREEMENT (COLLECTIVELY “USER AGREEMENT ACCEPTANCE”). 

THIS USER AGREEMENT INCLUDES THE HELLO NURZE PRIVACY POLICY, WHICH IS INCORPORATED HEREIN. 

IF YOU OR YOUR ENTITY, AS APPLICABLE, ARE NOT WILLING TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, INCLUDING THE PRIVACY POLICY, DO NOT SELECT THE ‘I AGREE’ BUTTON ASSOCIATED WITH THIS USER AGREEMENT AND DO NOT ACCESS, USE OR BROWSE OUR SITE; HELLO NURZE DOES NOT AND WILL NOT GRANT YOU ANY RIGHT OR LICENSE TO ACCESS, USE OR BROWSE THE SITE.

No Recommendations or Medical Advice

Hello Nurze is not a referral service and does not recommend or endorse any particular Care Provider. Rather, Hello Nurze is only an intermediary that provides selected information about Care Providers. We do not offer advice regarding the quality or suitability of any particular Care Provider for specific treatments or health conditions, and no information on this Site should be construed as health or medical advice. The Care Provider information consists of statements of opinion and not statements of fact or recommendations to utilize the services of any specific Care Provider. You should obtain any additional information necessary to make an informed decision prior to utilizing any specific Care Provider.

You assume all responsibility in connection with choosing any Care Provider, whether or not you obtained information about such Care Provider on or through this Site. 

Hello Nurze and its officers, directors, shareholders, employees, parents, subsidiaries, other affiliates, successors, assignees, agents, representatives, advertisers, marketing partners, licensors, independent contractors, recruiters, corporate partners or resellers (collectively, the “Affiliates”) assume no (and hereby disclaim all) responsibility or liability of any kind, for any advice, treatment or other services rendered by any Care Provider, or for any malpractice claims and other claims that may arise directly or indirectly from any such advice, treatment or other services.

Accessing the Site and Account Responsibility

If you wish to access certain areas of this Site available on or through certain areas of this Site, you must choose a password during your completion of this Site’s registration process. By registering, you represent, warrant and covenant that: (a) you are at least 18 years of age; (b) you are using your actual identity; (c) you have provided only true, accurate, current and complete information about yourself during the registration process; and (d) you will maintain and promptly update the information that you provide to keep it true, accurate, current and complete. You may update your information at any time by logging into the Site and clicking on “Log In.”

By logging onto this Site using any password, you represent, warrant and covenant that you are authorized to use such password and to engage in the activities that you conduct thereunder. You are solely responsible for the confidentiality and use of your password, as well as for any activities conducted on or through this Site using your password. If you wish to cancel a password, or if you become aware of any loss, theft or unauthorized use of a password, please notify us immediately. We reserve the right to delete or change any password at any time and for any reason.

We reserve the right to withdraw or amend this Site, and any service or material we provide on the Site, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Site, or the entire Site, to users, including registered users.

Intellectual Property Rights

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

This User Agreement permits you to use the Site for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except with respect to copies of such materials in RAM incidental to your accessing and viewing those materials.

You must not:

• Modify copies of any materials from the Site.

• Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Site.

• Access or use for any commercial purposes any part of the Site or any services or materials available through the Site. 

The Company name, the term Hello Nurze, the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company.

Term and Termination

This User Agreement will take effect at the time you click “I Agree” or access, use or browse this Site. We reserve the right, at any time and for any reason, without notice to you: (a) to deny you access to this Site or any portion thereof; (b) to change, remove or discontinue the Site or any portion thereof; or (c) to terminate this User Agreement. Upon termination of this User Agreement, all licenses granted to you under this User Agreement immediately and automatically terminate and you may no longer access, browse or otherwise use this Site, the Site Materials or any portion thereof.

Rules for User Conduct and Use of Services

Registration, Posting, and Content Restrictions

The following rules pertain to “Content”, defined as any communications, images, sounds, videos, and all the material, data, and information that you upload or transmit through the Site, whether to Hello Nurze or to other Users or Site visitors, or that other users upload or transmit, including without limitation any content, messages, photos, audios, videos, reviews or profiles that you publish or display (hereinafter, “post”):

• Any Content that you post, upload or transmit to or through the Site or Services is solely for the purpose of finding or managing care or care-related jobs, or for finding or sharing information relating to care.

• You are responsible for providing accurate, current and complete information in connection with your registration for use of the Site.

• You will register your account in your own legal name, even if you are seeking care for another individual or family member.

• Unless otherwise permitted by Hello Nurze, all Content you post will be in English as the Site generally is not supported in any other languages.

• You are solely responsible for any Content that you post on the Site or transmit to other users of the Site. You will not post on the Site, or transmit to other users, any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, defamatory, racially offensive, or illegal material, or any material that infringes or violates another party’s rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity), or advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse, or give the impression that any Content emanates from Hello Nurze where this is not the case. You will not provide inaccurate, misleading, defamatory or false information to Hello Nurze or to any other user of the Site, and all opinions stated as part of Content must be genuinely held. Without limiting the foregoing, you represent and warrant to us that you have the right and authority to post all information you post about yourself or others, including without limitation that you have authorization from a parent or guardian of any minor who is the subject of any Content you post to post such Content.

• You understand and agree that Hello Nurze may, in its sole discretion, review, edit, and delete any Content, in each case in whole or in part, that in the sole judgment of Hello Nurze violates this User Agreement or which Hello Nurze determines in its sole discretion might be offensive, inappropriate, illegal, or that might violate the rights, harm, or threaten the safety of users of the Site or others.

• You have the right, and hereby grant, to Hello Nurze, its Affiliates, licensees and successors, an irrevocable, perpetual, non-exclusive, fully paid-up, transferable, worldwide license to use, copy, perform, display, reproduce, adapt, modify and distribute your Content and to prepare derivative works of, or incorporate into other works, such Content, and to grant and authorize sublicenses of the foregoing. You further represent and warrant that public posting and use of your Content by Hello Nurze will not infringe or violate the rights of any third party.

• Your use of the Site, including but not limited to the Content you post on the Site, must be in accordance with any and all applicable laws and regulations.

• We welcome your feedback and questions about the Site. However, you agree that any comments, ideas, messages, questions, suggestions, or other communications you send to us or share with us through any channel (including, without limitation, the Site, email, telephone, surveys, and our social media accounts) shall be and remain the exclusive property of Hello Nurze and we may use all such communications, all without notice to, consent from, or compensation to you.

• As Family User and Care Provider Content is primarily user generated, we do not control or vet such Content for accuracy, and we do not assume and expressly disclaim any responsibility for the accuracy or reliability of any Content provided by Care Providers or Family Users on or off the Site, including any Content that may include misstatements or misrepresentations or that may be defamatory or disparaging. Users hereby represent, understand and agree to hold Hello Nurze harmless for any misstatements misrepresentations, or other disparaging or defamatory statements made by or on behalf of them on this Site or in any other venue.

• Opinions, advice, statements, offers, or other information or content made available on the Site or through the Site, but not directly by Hello Nurze, are those of their respective authors. Such authors are solely responsible for such content. Hello Nurze does not: (i) guarantee the accuracy, completeness, or usefulness of any information on the Site or available through the Service, or (ii) adopt, endorse or accept responsibility for the accuracy or reliability of any opinion, advice, or statement made by any party that appears on the Site. Under no circumstances will Hello Nurze or its Affiliates be responsible for any loss or damage resulting from: (a) your reliance on information or other content posted on the Site or transmitted to or by any user of the Site; or (b) reviews or comments made about you on the Site by other users.

Exclusive Use

If you are a Family User, you may use your account only to find care for your children, your grandchildren, individuals for whom you are otherwise the legal guardian, or children of another Family User with whom you are entering a shared child care arrangement. If you are a Care Provider, you may use your account only to find care jobs for yourself. You are responsible for all activity on and use of your account, and you may not assign or otherwise transfer your account to any other person or entity.

Prohibited Uses

By using the Site of Hello Nurze, you agree that you will not under any circumstances:

• use the Site, or any information contained therein in any way that is abusive, threatening, obscene, defamatory, libelous, or racially, sexually, religiously, or otherwise objectionable or offensive;

• use the Site for any fraudulent or unlawful purpose, for any purpose unrelated to care or caregiving, or for any other purpose not expressly intended by Hello Nurze;

• harass, abuse or harm another person or group, or attempt to do so;

• use another user’s Hello Nurze account;

• provide false or inaccurate information when registering an account on Hello Nurze or communicating with other Users;

• attempt to re-register with Hello Nurze if we have terminated your account for any or no reason or terminate your registration and re-register in order to prevent a review from being associated with your account;

• interfere or attempt to interfere with the proper functioning of Hello Nurze’s services;

• make any automated use of the system, or take any action that we deem to impose or to potentially impose an unreasonable or disproportionately large load on our servers or network infrastructure;

• bypass any robot exclusion headers or other measures we take to restrict access to the Site or use any software, technology, or device to scrape, spider, or crawl the Site or harvest or manipulate data (whether manually or through automated means);

• use the communication systems provided by or contacts made on Hello Nurze for any commercial solicitation purposes other than those expressly permitted by Hello Nurze;

• publish or link to malicious content intended to damage or disrupt another user’s browser or computer. 

Should Hello Nurze find that you violated the terms of this Section or any terms stated herein, Hello Nurze reserves the right, at its sole discretion, to immediately terminate your use of the Site. By using the Site, you agree that Hello Nurze may assess, and you will be obligated to pay, $10,000 per each day that you: (i) maintain Care Provider or Family User information (including but not limited to, names, addresses, phone numbers, or email addresses) or copyrighted material that you scraped (either directly or indirectly in a manual or automatic manner) from the Site, or (ii) otherwise mis-use or mis-appropriate Site Content, including but not limited to, use on a “mirrored”, competitive, or third party site. This obligation shall be in addition to any other rights Hello Nurze may have under this User Agreement or applicable law. Further, without limiting the above, in the event that you or any of your agents or representatives utilize the Site for a commercial purpose not expressly permitted by Hello Nurze, Hello Nurze may assess a charge equal to two times the price offered by Hello Nurze to Users who pay to use the Site for such commercial purpose or a similar commercial purpose. By agreeing to these Terms, you are expressly agreeing to pay any such charges, and are further agreeing that any such charges may be charged against any payment source or payment account provided by you to Hello Nurze. Further, in order to protect the integrity of the Site, Hello Nurze reserves the right at any time in its sole discretion to block users from certain IP addresses from accessing the Site. 

Privacy

We consider the protection of our users’ personal data to be important. Therefore, we have adopted a Privacy Policy outlining our personal data collection and use practices. Please refer to it for details about how we collect and use personal information from users of this Site. By agreeing to the terms of this User Agreement, you are automatically agreeing to our Privacy Policy, which is incorporated herein by reference.

Links to Other Sites

This Site may contain links to other sites on the World Wide Web for the convenience of our users. These other sites have not been reviewed by us and are maintained by third parties over which we exercise no control. Accordingly, we expressly disclaim any responsibility for the content, policies and practices of these other sites and for the availability, accuracy, reliability, completeness, currency, quality, performance or suitability of the information, products and services available or advertised on or through these other sites. Moreover, these links do not imply, directly or indirectly, our endorsement of or affiliation with any other site or site owner, or any information, products or services provided by any third party. When leaving this Site, you should be aware that our terms and policies may no longer govern, and, therefore, you should review the applicable terms and policies of each linked site.

Confidentiality on the Internet

Use of the Internet is solely at your own risk and is subject to all applicable local, state, federal, and international laws and regulations. While we have endeavored to create a secure and reliable site, please be advised that the confidentiality of any communication or material transmitted to us over the Internet, including but not limited to information sent via the messaging functionality we provide between Family Users and Care Providers, cannot be guaranteed. Consequently, neither we nor our Affiliates are responsible for the security of any information transmitted via the Internet, the accuracy of the information contained on this Site, or for the consequences of any reliance on such information. You must make your own determination as to these matters.

Release of Liability for Conduct and Disputes

By using this Site, you hereby represent, understand, and expressly agree to release and hold Hello Nurze and its Affiliates harmless from any claim or controversy that may arise out of:

• the actions or inactions of, or the relationship between, you and any other User; and

• any information, instruction, advice or services created by any Family User, Care Provider, or other third party that appeared on, or was communicated through, the Site Hello Nurze and its Affiliates expressly disclaims any liability whatsoever for any damage, suits, claims, and/or controversies that have arisen or may arise, whether known or unknown, from the above.

Disclaimers; Limitations; Waivers; Indemnification

No Warranty

The information and materials contained on the Site, including text, graphics, information, links or other items are provided “as is,” “as available.” Further, opinions, advice, statements, offers, or other information or content made available through the Site, but not directly by Hello Nurze, are those of their respective authors, and should not necessarily be relied upon. Such authors are solely responsible for such content. HELLO NURZE DOES NOT: (1) WARRANT THE ACCURACY, ADEQUACY OR COMPLETENESS OF THIS INFORMATION AND MATERIALS; (2) ADOPT, ENDORSE OR ACCEPT RESPONSIBILITY FOR THE ACCURACY OR RELIABILITY OF ANY OPINION, ADVICE, OR STATEMENT MADE BY ANY PARTY OTHER THAN HELLO NURZE; (3) WARRANT THAT YOUR USE OF THE SITE OR SERVICES WILL BE SECURE, FREE FROM COMPUTER VIRUSES, UNINTERRUPTED, ALWAYS AVAILABLE, ERROR-FREE OR WILL MEET YOUR REQUIREMENTS, OR THAT ANY DEFECTS IN THE SERVICES WILL BE CORRECTED; OR (4) GIVE ANY WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS. TO THE EXTENT PERMITTED BY APPLICABLE LAW, HELLO NURZE EXPRESSLY EXCLUDES ALL CONDITIONS, WARRANTIES AND OTHER TERMS WHICH MIGHT OTHERWISE BE IMPLIED BY STATUTE, COMMON LAW OR THE LAW OF EQUITY AND DISCLAIMS LIABILITY FOR ERRORS OR OMISSIONS IN THIS INFORMATION AND MATERIALS.

IN ADDITION, AND WITHOUT LIMITING THE FOREGOING, HELLO NURZE MAKES NO REPRESENTATION OR WARRANTIES OF ANY KIND WHETHER EXPRESS OR IMPLIED REGARDING THE SUITABILITY OF ANY USER OF OUR SITE TO PROVIDE SERVICES AS A CARE PROVIDER OR TO EMPLOY THE SERVICES OF A CARE PROVIDER.

Assumption of Risk

While Hello Nurze takes certain steps to help promote the safety of our Site, finding care or care-related jobs via an online platform like ours comes with certain inherent risks. We do not provide any training, supervision, or monitoring of Family Users or Care Providers, and we cannot guarantee that all of your interactions with other Users, site visitors, their families, or others associated with them, will always be 100% safe and respectful. You agree to assume all risks when using the Site, including but not limited to injury, illness, death, and all other risks associated with any online or offline interactions with users of the Site. You also agree not to rely solely on steps Hello Nurze may take to vet or screen Care Providers or Family Users and/or their Content, or otherwise to promote the safety of the Site. 

Limitation of Liability

Incidental Damages and Aggregate Liability. In no event will Hello Nurze be liable for any indirect, special, incidental, or consequential damages, losses or expenses arising out of or relating to the use or inability to use the Site, including without limitation damages related to any information received from the Site, removal of content from the Site, including profile information, any email distributed to any user or any linked web site or use thereof or inability to use by any party, or in connection with any termination of your subscription or ability to access the Site, failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure, even if Hello Nurze, or representatives thereof, are advised of the possibility of such damages, losses or expenses. UNDER NO CIRCUMSTANCES WILL HELLO NURZE’S AGGREGATE LIABILITY, IN ANY FORM OF ACTION WHATSOEVER IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SERVICES OR THE SITE, EXCEED THE PRICE PAID BY YOU FOR YOUR ACCOUNT, OR, IF YOU HAVE NOT PAID HELLO NURZE FOR THE USE OF ANY SERVICES, THE AMOUNT OF $25.00.

No Liability for non-Hello Nurze Actions. IN NO EVENT WILL HELLO NURZE BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL, OR OTHERWISE, ARISING OUT OF OR RELATING TO THE CONDUCT OF YOU OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE SITE OR ANY AGREEMENT OR RELATIONSHIP FORMED USING THE SITE, INCLUDING WITHOUT LIMITATION, BODILY INJURY, EMOTIONAL DISTRESS, AND/OR ANY OTHER DAMAGES RESULTING FROM ANYONE’S RELIANCE ON INFORMATION OR OTHER CONTENT POSTED ON THE SITE, OR TRANSMITTED TO OR BY ANY USERS OR ANY OTHER INTERACTIONS WITH OTHER REGISTERED USERS OF THE SITE, WHETHER ONLINE OR OFFLINE. THIS INCLUDES ANY CLAIMS, LOSSES OR DAMAGES ARISING FROM THE CONDUCT OF USERS WHO HAVE REGISTERED UNDER FALSE PRETENSES OR WHO ATTEMPT TO DEFRAUD OR HARM YOU.

In addition to the preceding paragraphs of this section and other provisions of this User Agreement, any advice that may be posted on the Site is for informational purposes only and is not intended to replace or substitute for any professional financial, medical, legal, or other advice. Hello Nurze makes no representations or warranties and expressly disclaims any and all liability concerning any treatment, action by, or effect on any person following the information offered or provided within or through the Site. If you have specific concerns or a situation arises in which you require professional or medical advice, you should consult with an appropriately trained and qualified specialist.

Indemnification. By agreeing to this User Agreement, users of the Site agree to indemnify, defend and hold harmless Hello Nurze and its Affiliates from and against any and all claims, losses, expenses or demands of liability, including reasonable attorneys’ fees and costs incurred by Hello Nurze and its Affiliates in connection with any claim by a third party (including an intellectual property claim) arising out of (i) materials and content you submit, post or transmit through the Site, (ii) use of the Site by you in violation of this User Agreement or in violation of any applicable law, or (iii) any relationship or agreement formed with a Family User or Care Provider using the Site or Services. Users further agree that they will cooperate as reasonably required in the defense of such claims. Hello Nurze and its Affiliates reserve the right, at their own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by users, and users shall not, in any event, settle any claim or matter without the written consent of Hello Nurze. Users further agree to hold harmless Hello Nurze and its Affiliates from any claim arising from a third party’s use of information or materials of any kind that users post to the Site.

Choice of Law; Arbitration. 

This User Agreement is governed by and will be construed under the laws of the State of Colorado, without regard to the conflicts of laws provisions thereof. Any dispute arising from or relating to the subject matter of this User Agreement shall be finally settled by binding arbitration in Denver County, Colorado, in English, in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. (“JAMS”) then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with such Rules. Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction. Notwithstanding the foregoing obligation to arbitrate disputes, each party shall have the right to pursue injunctive or other equitable relief at any time, from any court of competent jurisdiction. For all purposes of this Agreement, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in, respectively, Denver County, Colorado, or the District of Colorado. Any arbitration under this User Agreement will take place on an individual basis: class arbitrations and class actions are not permitted. YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THESE TERMS, YOU AND HELLO NURZE ARE EACH WAIVING THE RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

Consent to Electronic Communication

By using the Site of Hello Nurze, you agree to allow Hello Nurze to communicate with you electronically, and you consent to electronic delivery of notices, documents, or products from Hello Nurze via the Site, mobile application, online messaging platform, or e-mail. You also agree to check your Hello Nurze account, alerts, and messages, and the e-mail account reflected on your Hello Nurze on a reasonably regular basis to stay apprised of important notices and information about your account.

Miscellaneous

Nothing in this User Agreement shall be construed as making either party the partner, joint venturer, agent, legal representative, employer, contractor or employee of the other. Neither party shall have, or hold itself out to any third party as having any authority to make any statements, representations or commitments of any kind, or to take any action, that shall be binding on the other, except as provided for herein or authorized in writing by the party to be bound. The invalidity, illegality or unenforceability of any term or provision of this User Agreement shall in no way effect the validity, legality or enforceability of any other term or provision of this User Agreement. Each Affiliate is expressly made a third party beneficiary of this Agreement and may enforce this Agreement directly against you. This Agreement will be binding on and will inure to the benefit of the legal representatives, successors and assigns of the parties hereto.

Severability

If a court decides that any term or provision of this User Agreement is invalid or unenforceable, the parties agree to replace such term or provision with a term or provision that is valid and enforceable and that comes closest to expressing the intention of the invalid or unenforceable term or provision, and this User Agreement shall be enforceable as so modified.
